These Terms of Service ("Terms") govern your access to and use of stedydesk.online and the services offered by Devlon StedyDesk Global Private Limited ("Devlon StedyDesk", "we", "us" or "our"). By accessing our website, submitting an inquiry, or engaging us for services, you agree to be bound by these Terms.
If you are using our website or services on behalf of a company or other legal entity, you represent that you have the authority to bind that entity to these Terms.
We provide website, ecommerce, mobile app, custom software, plugin and extension development, QA and testing, and IT support and managed services, along with related consulting and maintenance work.
The specific scope, deliverables, timeline and cost for a project are defined in a separate proposal, statement of work or written agreement between Devlon StedyDesk and the client. Where these Terms and a signed agreement conflict, the signed agreement controls for that engagement.
Quotes and estimates are based on the information provided at the time and may change if project scope, requirements or timelines change materially.
We work under a range of engagement models, including fixed price, hourly, dedicated team and retainer arrangements, as agreed in writing for each project.
Clients are responsible for providing timely feedback, content, credentials, and access needed to complete a project, and for reviewing and approving deliverables at agreed milestones.
Delays in providing required information or approvals may affect project timelines and are not attributable to Devlon StedyDesk.
Payment terms, including deposits, milestone payments and invoicing schedules, are set out in the applicable proposal or agreement for each engagement.
Late payments may result in a pause of work until outstanding amounts are resolved. Fees paid are generally non-refundable except as otherwise agreed in writing.
Unless otherwise agreed in writing, ownership of custom deliverables created specifically for a client transfers to that client upon full payment for the relevant work.
We retain ownership of our pre-existing tools, frameworks, libraries and general know-how used in delivering services, and may reuse non-client-specific components in other projects.
Content, trademarks, logos and materials on stedydesk.online are the property of Devlon StedyDesk or its licensors and may not be used without permission.
Both parties agree to keep confidential any non-public business, technical or financial information shared during an engagement, and to use it only for the purposes of that engagement, except where disclosure is required by law.
We provide our services with reasonable skill and care, in line with industry standards. Except as expressly stated in a signed agreement, our website and services are provided "as is" without warranties of any kind, whether express or implied.
We do not guarantee that any website, app or software will be uninterrupted, error-free or fully secure against every possible risk, though we take reasonable steps to test and safeguard what we build.
To the maximum extent permitted by law, Devlon StedyDesk will not be liable for indirect, incidental, special or consequential damages arising from the use of our website or services.
Our total liability for any claim arising out of a project is limited to the amount paid by the client for the specific services giving rise to the claim, unless otherwise agreed in writing.
Either party may terminate an active engagement in accordance with the terms set out in the applicable signed agreement, typically with written notice.
Upon termination, the client remains responsible for payment of fees for work completed up to the termination date.
These Terms are governed by the laws of India, without regard to conflict of law principles, unless a separate signed agreement with a client specifies a different governing law for that engagement.
We may update these Terms from time to time. Changes will be posted on this page with an updated effective date. Continued use of our website or services after changes are posted constitutes acceptance of the updated Terms.
